SOFTWARE LICENSE AGREEMENT

Please read carefully the below text, which contains the terms of installing and using this software application.

E-way.gr has designed and developed and is the owner of the software contained in this package and provides the user the permanent and personal license to use only this software, in accordance with the terms below:

1. Software Definition
“Software” is considered to be the computer programme written in machine readable (object code) form, the instruction manuals and the hard copy of the programme (CD etc.).

2. Software License Agreement
E-way.gr has the exclusive legal rights of intellectual and industrial property and exploitation for the present computer programme. E-way.gr sells the Software to the user for a certain fee and provides the permanent and personal license for using it, always in accordance with the hereby terms and conditions. The user acquires only the ownership of the material (CD etc.) in which the software is recorded and not the ownership of the software itself, which remains under the exclusive ownership of e-way.gr. All rights not hereby expressly granted are hereby exclusively reserved by e-way.gr.

3. License Agreement Content
The above license agreement exclusively provides the user the right to use the software as the only and exclusive user on a single computer at a time.

4. Prohibitions and Restrictions
The user is not allowed to use the software beyond what is restrictively mentioned in Term 3. In particular, it is absolutely forbidden for the user to:

4.1 Produce copies of the software including the instruction manuals in any way (mechanical, electronic, magnetic, visual etc.) and for any reason.
4.2 Grant the use of the software or copies of the software to third parties, in exchange for money or not.
4.3 Distribute copies of the software to third parties in any storage device or electronically transfer the software to other computers over network or in any other way.
4.4 Lease, tender for timesharing, adapt, lend, modify, dub, distribute and market the software, or create derivative software or derivative works of the software or parts of it.
4.5 Decode, decrypt or reverse the machine code to source code, bypass the security and protection mechanisms.
4.6 Copy the appearance and/or the screens’ set-up and the aspects of the software, the working method prescribed for each user as a way of solving a particular problem or in any way transform the machine code of the software into a human perceptible form.

5. Termination of the License Agreement

This agreement is effectual until its potential termination. All its terms are considered essential and the infringement of even one of these leads, automatically and with no further action, to its unilateral termination by e-way.gr. In case of such termination, the user must immediately hand over all the software and its backup copies, if any, to e-way.gr, and is not entitled to a refund for the money paid when acquired the license for its use. In case of termination of the agreement, e-way.gr is reserved to ask the user to restore any damage due to the user’s violation of the terms.

6. Limited Warranty on Materials

6.1 E-way.gr provides warranty for the storage device (CD etc.) in which the software is stored and the accompanying printed material for construction or material defects for a period of ninety (90) days from the date of their receipt.
6.2 During the warranty period, e-way.gr is under the obligation to repair or replace (at its sole discretion), without any cost to the user, every product proven defective.

E-way.gr refuses all liability for losses and damages caused by:

a. accident, fall, crash, environmental conditions, magnetic fields, improper electricity supply, hardware failure
b. improper use or use in no accordance with the instructions
c. any kind of arbitrary intervention and/or modification by a person not specifically authorised by e-way.gr
d. omission of frequent backup copies of the data and system files of the programme
e. interaction with other software products or electromechanical products (hardware).

E-way.gr does not guarantee the quality, performance, merchantability or fitness of the software for a particular purpose/application. The software is provided “as is” and the user undertakes the exclusive liability and risk for its fitness and performance. In no case it is possible to consider that hereby is provided any explicit, implicit or implied warranty for anything not explicitly stated hereby.

E-way.gr and its developers are in no way principally or subsidiarily accountable to pay indemnity costs for any positive and/or consequential damage, and/or loss, and/or lost profits, due to present or future defect of the software and the accompanying instruction manual. Indicatively, under no restriction, e-way.gr will not be accountable for the proper function of the computer and its peripherals, combined with whichever other software or computer network programmes, for the effectiveness of the product in combination with any other software product or third party peripheral device, as well as for loss of data, files or software programmes.

7. Special Terms

7.4. E-way.gr expressly reserves exclusively for itself all the primary and derivative rights of intellectual and industrial property on the code, the methods and technical innovations embedded in the software, its designs and its flowcharts, its trademark and name, as well as the instruction manual of the software. In no case the assignment of the hereby license means assignment of any rights mentioned above to the user, who only acquires the right to use the product.
7.5. For any dispute that may arise, the Courts of Syros, Greece, are exclusively competent.
